These Terms govern your access to and use of SterlingCapital.tech and its associated educational and software services. By using the Sites, you agree to be bound by these Terms.

Definitions.

A registered user profile created on the Sites that grants access to Services.
Content

Credit / Debit Card Information
Payment-card details processed via the third-party payment processor; we do not store full card numbers on our Systems.
Data

Designated Agent

Fee

Force Majeure Event

User Credentials
The username, password, and authentication factors associated with an Account.
Website
Used interchangeably with “Sites.” The publicly accessible web properties operated under SterlingCapital.tech.

Services may include written and video lessons, performance dashboards, and software utilities. The scope, features, and availability of Services may change without notice. |
| 03 | Eligibility | You must be at least 18 years of age (or the age of majority in your jurisdiction) and legally capable of entering binding contracts to use the Sites or Services. Use of the Sites is void where prohibited by law. By using the Sites, you represent and warrant that you meet these eligibility requirements. |

We may remove content and suspend accounts at our discretion. |

| 11 | Limitation of liability | To the maximum extent permitted by law, Sterling Capital Technologies and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Sites or Services. Aggregate liability shall not exceed amounts you paid us in the twelve months preceding the claim. |
| 12 | Purchases and payment information | Orders are subject to acceptance by us. Prices are stated in U.S. dollars unless otherwise indicated and are exclusive of applicable taxes. | 18 | Intellectual property and trademarks | The Sites, Services, and Content are protected by copyright, trademark, and other Intellectual Property laws. All Marks displayed on the Sites are property of Sterling Capital Technologies or their respective owners. You may not use, reproduce, or distribute Marks without prior written permission. |
| 19 | DMCA | If you believe Content on the Sites infringes your copyright, send a notice to our Designated Agent at info [at] sterlingcapital.tech including: (a) identification of the work; (b) location of the infringing material; (c) your contact information; (d) a good-faith statement; (e) a statement under penalty of perjury that you are authorized to act; (f) your physical or electronic signature. |
| 20 | Termination | We may suspend or terminate your access to the Sites and Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Sites ends immediately. Provisions that by nature should survive termination shall do so, including ownership, warranty disclaimers, indemnity, and limitations of liability. |
| 21 | Jurisdiction, arbitration, class action waiver | These Terms are governed by applicable law. Any dispute arising from these Terms or your use of the Sites shall be resolved by binding individual arbitration, not in court. You waive any right to bring claims as a class, representative, or consolidated action. Either party may seek injunctive relief in court for IP infringement. |

| 23 | Violations | We may investigate any suspected violation of these Terms and take any action we deem appropriate, including removing Content, suspending Accounts, reporting to law enforcement, and pursuing legal remedies. Our exercise (or non-exercise) of any right does not waive any other right. |
| 24 | Indemnification | You agree to indemnify, defend, and hold harmless Sterling Capital Technologies, its affiliates, officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from your use of the Sites, your User Content, your violation of these Terms, or your violation of any third-party rights. |
| 25 | Other prohibited uses | You may not (a) scrape, mine, or use automated means to extract data from the Sites; (b) reverse engineer or attempt to derive source code; (c) circumvent security measures; (d) use the Sites to develop competing products; (e) sublicense, resell, or commercially exploit Content without permission. |
| 26 | Rewards and incentives | We may from time to time offer rewards, referral programs, or other incentives. Specific terms apply and are posted with each offer. Rewards have no cash value, are non-transferable, and may be modified or discontinued at any time. |
| 27 | Geographic restrictions | Access from jurisdictions where the Sites or Services are prohibited is at your own risk. You are responsible for compliance with all local laws applicable to your access and use. We make no representation that the Sites are suitable or available for use in any particular location. |
| 28 | Miscellaneous | These Terms together with the Privacy Policy constitute the entire agreement between you and Sterling Capital Technologies regarding the Sites and supersede all prior agreements. Headings are for convenience only. No waiver of any provision shall be deemed a continuing waiver. These Terms may not be assigned by you without our prior consent. |

The unenforceability of any provision does not affect the enforceability of any other. |
